Terms of Service

Effective Date: May 1, 2026 · Last Updated: September 30, 2026

These Terms of Service ("Terms") govern your access to and use of the Chirp mobile application, website, and all related services (collectively, the "Service") operated by Chirp Inc. ("Chirp," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete.

2. Account Registration

You must register for an account using a valid phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete registration information
  • Promptly update your information if it changes
  • Notify us immediately of any unauthorized use of your account
  • Not create multiple accounts or accounts on behalf of others without authorization

3. Location Services

Chirp is a location-based service. By using the Service, you expressly consent to the collection, use, and processing of your location data as described in our Privacy Policy. Specifically:

  • Location-based features: The Service uses your device location or entered zip code to assign you to a neighborhood community cluster. This is core functionality and is required for the Service to work.
  • Approximate location only: We assign you to a neighborhood cluster (zip-code level) and do not display your precise GPS coordinates to other users.
  • Travel Mode: When you enable Travel Mode, your location may be used to connect you to a different neighborhood community. You may disable Travel Mode at any time.
  • No real-time tracking: We do not continuously track your location in the background beyond what is necessary to determine your community assignment.
  • Opt-out: You may revoke location permissions in your device settings at any time, but doing so may prevent certain features from functioning.

4. User Content and Public Communications

⚠️ Important Notice About Public Chats

Content posted in building lobbies, neighborhood town squares, interest groups, and other shared spaces is visible to all members of that community. Do not post personal information, sensitive details, financial information, your precise home address, or anything you would not want your neighbors to see. Chirp is not responsible for how other users receive, share, or respond to content you post publicly.

By submitting content to the Service ("User Content"), you:

  • Retain ownership of your User Content
  • Grant Chirp a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely to operate and improve the Service
  • Represent that you have all rights necessary to grant this license
  • Acknowledge that content posted in public or community spaces is visible to other users of that community
  • Understand that even after deletion, copies may briefly persist in caches or backup systems

5. Prohibited Conduct

You agree not to use the Service to:

  • Post content that is unlawful, harassing, abusive, defamatory, obscene, fraudulent, or otherwise objectionable
  • Harass, threaten, stalk, or intimidate any person
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Post spam, unsolicited commercial messages, or promotional content
  • Share another person's private information without their consent ("doxxing")
  • Post content that discloses personally identifiable information of minors
  • Attempt to gain unauthorized access to any part of the Service or another user's account
  • Use the Service to conduct or facilitate illegal activity
  • Scrape, crawl, or harvest data from the Service without written permission
  • Interfere with or disrupt the integrity or performance of the Service
  • Post content that violates any third party's intellectual property rights

6. Community Guidelines and Moderation

Chirp uses a combination of automated AI moderation and human review to maintain safe, respectful communities. By using the Service, you acknowledge and agree that:

  • We may review, remove, or restrict any User Content at our sole discretion
  • We may suspend or terminate accounts that violate these Terms or our Community Guidelines
  • Moderation decisions are final and we are not obligated to explain them
  • Building operators and community administrators may have additional moderation powers within their communities
  • We reserve the right to report illegal activity to law enforcement

7. Interactions With Other Users

Chirp does not screen, vet, or run background checks on users, and makes no representations about any user's identity, residency, or conduct. You are solely responsible for your interactions with other users, whether online or in person. Use caution and good judgment when meeting anyone in person, and meet in public places when possible. Your attendance at any event, meetup, or gathering — whether organized by Chirp users, building management, or listed from third-party sources — is voluntary and at your own risk. To the maximum extent permitted by law, Chirp is not responsible for the conduct of any user or attendee, online or offline.

8. Not an Emergency Service

Chirp is not an emergency service, a life-safety system, or a substitute for contacting authorities. Messages may be delayed, unread, or undelivered. In an emergency, call 911 (or your local emergency number) — do not rely on Chirp to report emergencies, crimes in progress, or urgent safety or medical situations.

9. Direct Messages

Direct messages between users are private to the participants. However, Chirp may access message content when required by law, to investigate reported violations of these Terms, or to respond to valid legal process. Do not use direct messages to harass, threaten, or solicit other users.

10. Push Notifications

By enabling push notifications, you consent to receive messages from Chirp related to your communities, messages, events, and service updates. You may disable notifications at any time in your device or app settings. Carrier messaging rates may apply.

11. Third-Party Services

The Service uses third-party providers to operate, including but not limited to:

  • Supabase — database, authentication, and real-time infrastructure
  • Twilio — SMS verification and phone authentication
  • Expo / Apple / Google — push notification delivery
  • Anthropic — AI content moderation and AI neighbor features
  • Ticketmaster and other event data providers — local event listings surfaced in the app

These providers have their own terms and privacy policies. Your use of the Service constitutes acceptance of those policies as they relate to data transmitted through their platforms.

⚠️ Event Listings Accuracy

Event listings shown in the app — including dates, times, locations, ticket availability, and event status — are sourced from third-party providers such as Ticketmaster and may be inaccurate, incomplete, outdated, or reflect cancellations that have not yet been communicated to us. Always verify event details directly with the organizer or venue before attending. Chirp is not responsible for any loss, inconvenience, or expense resulting from inaccurate event information.

12. Intellectual Property

The Service, including its design, code, branding, and content created by Chirp, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

13. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Chirp does not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Chirp does not warrant the accuracy, completeness, or usefulness of any content on the service, including user-generated content.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Chirp, its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, use, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service
  • Any content posted by you or other users, including in public community spaces
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the Service
  • Any other matter relating to the Service

In no event shall Chirp's aggregate liability exceed the greater of $100 or the amount you paid to Chirp in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Chirp and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

16. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. You may delete your account at any time through the app settings. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Chirp individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app and updating the "Last Updated" date above. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
